- be present at regular meetings of the BOD, or must provide a reasonable explanation for an absence at least 24 hours prior to a scheduled meeting of the Board of Directors. Failure to provide a reasonable explanation for an absence for two absences in a year will qualify in a breach in these bylaws and may result in the removal from office of the offending officer as described in Article II, Section 9.
